1. Agreement to Terms

By accessing or using PassQR (“Service”), operated by DaSecure LLC (“Company”, “we”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

PassQR is a digital pass creation and management platform that allows businesses to:

Create digital QR-code-based passes (tickets, memberships, loyalty cards)
Distribute passes via email, SMS, or direct link
Generate Apple Wallet and Google Wallet compatible passes
Scan and validate passes using any web browser
Access analytics and scan history
Integrate via REST API and webhooks

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

You must be at least 18 years old or the age of majority in your jurisdiction to use this Service. By using PassQR on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights
Create fraudulent, misleading, or counterfeit passes
Distribute malware, spam, or harmful content
Impersonate another person or entity
Attempt to gain unauthorized access to our systems
Reverse-engineer, decompile, or disassemble the Service
Use the Service for any illegal activity including but not limited to fraud, phishing, or identity theft
Resell or redistribute the Service without authorization

5. Subscription Plans & Billing

PassQR offers free and paid subscription plans. Paid plans are billed monthly and renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

Refunds are handled on a case-by-case basis. Contact support within 14 days of a charge for refund requests.

6. Your Data

You retain ownership of all content and data you upload to PassQR (“Your Data”). By using the Service, you grant us a limited license to store, process, and transmit Your Data solely to provide the Service.

You are responsible for the accuracy and legality of Your Data. You must have the necessary rights and consents to collect and process any personal information you upload, including pass holder names and email addresses.

7. Intellectual Property

The Service, including its design, code, features, and branding, is owned by DaSecure LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or brand elements.

8. Third-Party Services

PassQR integrates with third-party services including Apple Wallet, Google Wallet, and email delivery providers. Your use of these services is subject to their respective terms. We are not responsible for the availability or performance of third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DASECURE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Indemnification

You agree to indemnify and hold harmless DaSecure LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including liability limitations and indemnification) will survive.

You may delete your account at any time through the Settings page. Upon deletion, your data will be permanently removed within 30 days.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the jurisdiction where DaSecure LLC is incorporated.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes constitutes acceptance.
